Cloud Service Agreement (CSA)

The Cloud Service Agreement (hereinafter also referred to as the “CSA” and “Agreement”) is a binding contract by and between NortheBridge Cloud Communications, L.L.C., a California Limited Liability Company (hereinafter also referenced as “We,” “Us,” “Our,” and “NortheBridge Cloud Communications) and You (hereinafter also referenced as “Client” and “Your”). By signing this Agreement, You hereby contracually obligate yourself to all terms and conditions of the CSA without limitations and you are of the Age of Majority for Your jurisdiction and are authorized to enter in to this Agreement as the Client or the Client’s authorized representitive.

I. NOTICE OF DIRECTORATES

We are required to inform You all business matter You may interact with on the  Cloud Mosaic Service (hereinafter also referenced as “Cloud Mosaic,” “Cloud Mosaic by NortheBridge,” and “Service”), are solely between NortheBridge Cloud Communications and any designated licensors, sublicensors, contractors, or other entities required to provide the Service. UNLESS OTHERWISE PROVIDED IN WRITING ON OFFICIAL LETTERHEAD SENT ELECTRONICALLY AND MAIL BY US, YOU UNDERSTAND AND AGREE THAT YOU ARE ENTERING INTO THIS AGREEMENT ONLY WITH NORTHEBRIDGE CLOUD COMMUNICATIONS AND ITS LICENSORS, SUBLICENSORS, CONTRACTORS, OR ENTITIES RESPONSIBLE FOR PROVIDING THE SERVICE AND NOT WITH THE CELESTIAL ATLANTIS TREATY ORGANIZATION, UNITED REALMS OF ARENDELLE, CONSORTIUM OF THE INFINITY STAR, DIRECTLY WITH NORTHEBRIDGE NORTH AMERICA OR NORTHEBRIDGE ENTERPRISES, OR THE ASSEMBLY OF CONCORDE.

Without limitations, YOU MUST BE AN INTERNATIONALLY RECOGNIZED ENTITY ESTABLISHED SUCH AS BUT NOT LIMITED TO THE UNITED NATIONS AND ITS VARIOUS ORGANIZATIONS, A GOVERNMENT ENTITY OF ANY KIND, OR A CHARITY TO ENTER INTO THIS AGREEMENT WITH ANOTHER THE AFOREMENTIONED ENTITIES OF THE CELESTIAL ATLANTIS TREATY ORGANIZATION NOT PARTY TO THIS AGREEMENT. Qualification is subject to final approval by the Celestial Atlantis Treaty Organization and not NortheBridge Cloud Communications in such cases.

II. Cloud Service Agreement

The Cloud Service Agreement (CSA) shall be considered the primary governing agreement You have with NortheBridge Cloud Communications including this Agreements sub-contracts which You signifiy by signing this Agreement that you have read, understand, and also agree to the sub-contracts. The CSA has two sub-contracts: the Cloud Services Acceptable Use Policy and the Cloud Services Privacy Policy. The Mosaic Service Level Agreement Policy shall be considered a seperate contract entered by and between NortheBridge Cloud Communications and You.

IF YOU DO NOT ACCEPT OR AGREE TO THE CSA CONDITIONS OUTLINED INCLUDING THE CLOUD SERVICES ACCEPTABLE USE POLICY AND CLOUD SERVICES PRIVACY POLICY, YOU MAY NOT USE THE CLOUD MOSAIC. ANY CLIENT FOUND IN VIOLATION OF THIS STATEMENT WILL IMMEDIATELY HAVE ALL SERVICES TERMINATED WITH OR WITHOUT NOTICE.

III. SERVICE OBLIGATIONS

NortheBridge Cloud Communications shall be obligated to furnish to You the Services You pay NortheBridge Cloud Communications for as described in the Cloud Mosaic Landings on the Celestial Atlantis Treaty Organization’s “OneWorld” Web Application (located at https://northebridge.com) and any other application required to provide the Cloud Mosaic as governed by this Agreement. IN THE EVENT OF A TYPOGRAPHICAL OR WEB APPLICATION ERROR, NORTHEBRIDGE CLOUD COMMUNICATIONS SHALL ONLY BE OBLIGATED TO FURNISH THE SERVICE AS IT WAS INTENDED IN ANY CORRECTED WEB APPLICATION OR SERVICE GUIDE AT THE DISCRETION OF NORTHEBRIDGE CLOUD COMMUNICATIONS AND MAY MODIFY YOUR SERVICES WITH OR WITHOUT YOUR CONSENT.

IV. Service Delivery and Provisioning

Once You have placed an order for Services, NortheBridge Cloud Communications shall considered the Services “delivered” to You after passing the “Fraud Check” stage which is indicated in the Cloud Mosaic Provisioner available within Your Client account as “MOSAIC_CLOUD_PROVISIONER_STAGING” under Order Status AT WHICH POINT YOU UNDERSTAND AND AGREE THAT YOU WILL NO LONGER BE ENTITLED TO A REIMBURSEMENT OF ANY KIND INCLUDING BUT NOT LIMITED TO REFUNDS AND THAT YOUR ORDER FOR THE SERVICES WILL BE ACTIVE AND AVAILABLE FOR YOUR USE ONCE PROVISIONED THROUGH THE TERM YOU PAID FOR.

V. Payments and Term

NortheBridge Cloud Communications collects payments for Services ON THE SECOND DAY OF EVERY MONTH UNTIL THE SERVICE IS CANCELED FOR ANY REASON. Services ordered ON OR AFTER THE SIXTEENTH DAY OF ANY MONTH SHALL BE PRORATED TO INCLUDE THE COST OF SERVICES FROM THE DATE YOU ORDERED AS WELL AS THE NEXT IMMEDIATE MONTH. NortheBridge Cloud Communications accepts payments for each term length via PayPal, Square, Stripe, Skrill, WePay, and Chase Pay. YOU MAY USE ANY FORM OF PAYMENT ACCEPTED BY THESE PROCESSORS BUT THE STATUS OF YOUR SERVICES WITH US BASED ON PAYMENT REMISSION AND TIME OUR DATABASE LOGS YOUR PAYMENT MAY INTERRUPT YOUR SERVICE.

YOU MAY ALSO PAY US OVER THE PHONE WHICH WILL BE PROCESSED BY SQUARE. WE DO NOT ACCEPT PAYMENTS BY CHECK OR MONEY ORDER VIA MAIL NET TERMS ARE AVAILABLE TO CERTAIN CLIENTS WHO QUALIFY AT THE DISCRETION OF NORTHEBRIDGE CLOUD COMMUNICATIONS.

NORTHEBRIDGE CLOUD COMMUNICATIONS PAYMENTS, DEPENDING ON PROCESSOR, MAY SHOW UP AS PAYMENTS TO THE NORTHEBRIDGE EMPORIUM. ANY PAYMENT SHOWING UP AS A PAYMENT TO THE NORTHEBRIDGE EMPORIUM FOR SERVICES IS EQUIVALENT TO ANY PAYMENT SHOWING UP AS A PAYMENT TO NORTHEBRIDGE CLOUD COMMUNICATIONS AS THE NORTHEBRIDGE EMPORIUM HANDLES ALL “STORE” TRANSACTIONS.
